HISTORY
JCP's founding principals, Palmer P. Garson and R. Timothy O'Donnell, have successfully worked together for over a decade. Prior to founding JCP and its related entities, Ms. Garson and Mr. O'Donnell, collectively spent 35 years working in the investment banking industry. While investment bankers, JCP's principals developed extensive capital markets knowledge, corporate and other professional contacts, and experience with the execution of mergers and acquisitions.
Ms. Garson and Mr. O'Donnell co-founded Jefferson Capital Group, Ltd. ("JCG"), the predecessor company to Jefferson Capital Partners, Ltd., in 1989. In 1992, JCG began to actively pursue private equity investments on a deal specific basis. For each deal, JCG typically committed a portion of its firm capital and raised any additional capital that was necessary by soliciting the principals' extensive network of personal and professional contacts.
In 1996, JCG's network of deal and financing sources had expanded to the point where Ms. Garson and Mr. O'Donnell decided it was appropriate to raise a committed pool of capital. Jefferson Capital Partners, Ltd. was subsequently formed to be the General Partner for Ms. Garson's and Mr. O'Donnell's first private equity fund, Jefferson Capital Partners I, L.P. ("JCP I").
JCP I has $51 million of committed capital and is fully
invested.
In October 2001, JCP held a final closing for its second
private equity fund, Jefferson Capital Partners II, L.P.
("JCPII") with committed capital totaling $87.5
million.

Palmer P.
Garson (Partner) - Prior to co-founding Jefferson
Capital Group, Ltd., Ms. Garson developed extensive
corporate finance and investment banking experience
while working for Morgan Stanley & Co., A.G. Edwards,
and Mellon Bank. Ms. Garson's primary focus as an investment
banker was on the execution of mergers and acquisitions.
Ms. Garson currently serves on the boards of directors
of several JCP portfolio companies including
AtHome America, Inc., 360Commerce, Inc., Flat Rock Holdings,
Inc., iLIANT Corporation, HCCA International, Inc.,
and Technobrands, Inc. Additionally, Ms. Garson serves
on Duke University's board of directors, the Collegiate
School and the Darden School Foundation. Ms. Garson
has a B.A. from Duke University and an M.B.A. from the
Darden Graduate School of Business Administration at
the University of Virginia.

R. Timothy
O'Donnell (Partner) - Prior to co-founding Jefferson
Capital Group, Ltd., Mr. O'Donnell worked as an investment
banker for PaineWebber in New York. Mr. O'Donnell was a
First Vice President in charge of Leisure and Entertainment
Corporate Finance at PaineWebber and has extensive experience
with the equity and debt capital markets transactions.

O'Donnell currently serves on the board of directors of
several JCP portfolio companies including Global Trade
Technologies,
Inc., The Hobart West Group,
Inc., MicroMass Communications,
Inc., Prestige Brands International, Inc., NotifyMD,
Inc., VCG, Inc., and PowerPact L.L.C. Additionally,
Mr. O'Donnell serves on the University of Virginia's
Health Medical Services Board. Mr. O'Donnell has B.A.,
J.D., and M.B.A. degrees from the University of
Virginia.
